Law governs the interactions of individuals and organizations within society, providing a framework for orderly conduct and conflict resolution. In Kenya’s diverse professional landscape, understanding the nature of law equips diploma-level students with the ability to navigate legal obligations and rights effectively. Whether in healthcare, education, finance, or agriculture, the principles of law underpin decision-making, compliance, and ethical standards. This chapter explores the fundamental nature and purpose of law, laying a foundation for more advanced commercial law concepts.

1.1 Nature of Law

The nature of law involves understanding what law is, its characteristics, and how it functions within society. In Kenya, law reflects a blend of statutory provisions, customary practices, and judicial precedents that guide behavior and institutional operations. Professionals across sectors must appreciate law’s role as a system of rules that maintains social order and protects individual and collective interests.

1.1.1 Definition of Law

Law can be defined as a system of rules established and enforced by recognized authorities to regulate behavior within a community. It provides standards for conduct, resolves disputes, and prescribes penalties for violations. In Kenya, the Constitution is the supreme law, supported by legislation, case law, and customary law, forming a comprehensive legal framework.

1.1.2 Characteristics of Law

Law possesses distinct characteristics that differentiate it from other social norms. These features ensure its effectiveness in governing society.

Characteristics of Law

  • Universality: Law applies to all members of society equally, ensuring no one is above the law. For instance, county government officials and private business owners alike must adhere to tax regulations enforced by KRA.

  • Binding Nature: Compliance with the law is mandatory, and failure to obey legal rules results in sanctions. A retail business operating without a valid license risks closure by regulatory authorities like NEMA.

  • Sanctioned Enforcement: Law carries penalties such as fines or imprisonment for breaches, which are enforceable by state institutions. County hospitals, for example, must comply with health regulations or face penalties from the Ministry of Health.

  • Dynamic and Flexible: Law evolves to reflect changes in society, technology, and economic conditions. The recent amendments to data protection laws in Kenya demonstrate responsiveness to ICT sector growth.

  • Public Interest Orientation: Laws serve the welfare of the community by promoting justice, security, and equity. For example, labor laws protect employees’ rights in universities and SACCOs, balancing employer-employee relations.

1.1.3 Sources of Law in Kenya

Understanding where law originates is essential for applying it correctly in professional settings. Kenya’s legal system draws from multiple sources that collectively shape the regulatory environment.

Sources of Law

  • The Constitution: The supreme legal document that outlines fundamental rights, government structure, and guiding principles for all laws.

  • Legislation: Acts of Parliament and subsidiary legislation such as regulations and by-laws govern specific areas like business licensing and environmental protection.

  • Judicial Precedent: Decisions from courts, especially the Supreme Court and Court of Appeal, establish binding principles for future cases.

  • Customary Law: Traditional practices recognized by law, particularly in matters of family and land, that coexist with statutory law.

  • International Law: Treaties and conventions Kenya ratifies influence domestic law, especially in trade, human rights, and environmental standards.

1.1.4 Functions of Law in Society

Law performs critical functions that sustain social order and promote economic development. In Kenya’s professional sectors, these functions facilitate predictable and fair interactions.

Functions of Law

  • Maintaining Order: Laws deter harmful conduct and resolve conflicts, ensuring peaceful coexistence in workplaces such as banks and hotels.

  • Protecting Rights and Liberties: Legal provisions safeguard individual freedoms and property rights, vital for farmers securing land tenure.

  • Establishing Standards: Law sets minimum standards for health, safety, and quality, which county referral hospitals must uphold.

  • Providing Mechanisms for Dispute Resolution: Courts and alternative dispute resolution forums enable fair settlement of disagreements, crucial in cooperative societies.

  • Promoting Social Justice: Laws aim to reduce inequalities and protect vulnerable groups, evident in employment equity regulations applied in educational institutions.
